1. Agreement to Terms
By accessing or using StageScouter ("the Service"), available at stagescouter.com, you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service. These terms constitute a legally binding agreement between you and StageScouter.
2. Description of Service
StageScouter is a software platform that helps professional speakers find speaking opportunities, generate pitch materials, and manage their booking pipeline. The Service includes web-based search tools, pitch kit generation, pipeline management, analytics, and related features accessible through a subscription.
3. Eligibility
You must be at least 18 years old to use the Service. By creating an account, you represent that you are at least 18 years of age and that the information you provide during registration is accurate and complete.
4. Account Registration
To access certain features, you must create an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use of your account. We reserve the right to suspend or terminate accounts that violate these terms.
5. Free Trial and Subscriptions
StageScouter offers a 7-day free trial with full access to all features. No credit card is required to start the trial. After the trial period, continued access requires a paid subscription. Subscription plans are available on a monthly ($97/month) or annual ($797/year) basis. Prices are subject to change with 30 days advance notice to existing subscribers.
Subscriptions automatically renew at the end of each billing cycle unless canceled before the renewal date. You may cancel your subscription at any time through your account settings or the Stripe billing portal. Monthly subscribers retain access through the end of the current billing period. Annual subscribers retain access through the end of the annual term.
6. Payment and Billing
All payments are processed securely through Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis. You are responsible for keeping your payment information current. If payment fails, your access may be suspended until payment is resolved. Refunds are handled on a case-by-case basis at our discretion.
7. Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these terms. You may not: use the Service to send spam or unsolicited bulk communications; attempt to reverse-engineer, decompile, or extract the source code of the Service; use automated scripts or bots to access the Service outside of its intended interface; resell, sublicense, or redistribute access to the Service without our written consent; impersonate any person or entity or misrepresent your affiliation; or use the Service in any manner that could damage, disable, or impair its operation.
8. Intellectual Property
The Service, including its design, code, features, branding, and documentation, is owned by StageScouter and protected by intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable license to use the Service for your personal or professional speaking business. Content you create using the Service (pitch emails, bios, one-pagers) belongs to you. However, your speaker profile data may be used in aggregate and anonymized form to improve the Service.
9. Third-Party Services
StageScouter integrates with third-party services including search APIs, payment processors, and event platforms. We are not responsible for the availability, accuracy, or content of third-party services. Your use of third-party services is subject to their respective terms of service and privacy policies. Search results are sourced from publicly available information on the web and we do not guarantee the accuracy, completeness, or timeliness of any search result.
10. Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that the Service will be uninterrupted, error-free, or secure. We do not guarantee that you will book speaking engagements as a result of using the Service. Search results, match scores, and pitch suggestions are generated algorithmically and should be reviewed by you before use. We are not responsible for the outcome of any pitch, application, or outreach you make using materials generated by the Service.
11. Limitation of Liability
To the maximum extent permitted by law, StageScouter and its owners, officers, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service. Our total liability to you for any claims arising from these terms or the Service shall not exceed the amount you paid us in the 12 months preceding the claim.
12. Indemnification
You agree to indemnify and hold harmless StageScouter from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these terms, or your violation of any rights of a third party.
13. Termination
We reserve the right to suspend or terminate your account at any time for any reason, including violation of these terms. Upon termination, your right to use the Service ceases immediately. Provisions of these terms that by their nature should survive termination will survive, including ownership, warranty disclaimers, indemnification, and limitations of liability.
14. Partner/Affiliate Program
If you participate in the StageScouter Partner Program, additional terms apply. Partners earn a 30% recurring commission on referred subscribers for as long as those subscribers remain active. Commissions are paid based on actual collected revenue. Partners must not engage in deceptive marketing practices, make false claims about the Service, or use spam to promote their referral links. We reserve the right to modify commission rates or terminate partner accounts that violate program guidelines.
15. Changes to Terms
We may update these Terms of Service from time to time. Material changes will be communicated via email to registered users at least 30 days before they take effect. Continued use of the Service after changes take effect constitutes your acceptance of the updated terms.
16. Governing Law
These terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to conflict of law principles. Any disputes arising from these terms or the Service shall be resolved in the courts located in the State of Texas.
